To register a limited liability company (LLC) through the DIYA portal in Ukraine, you must prepare the following documents and information:

  • Electronic digital signature (EDS). All founders must have a qualified electronic signature or use “Diya.Signature” to confirm documents;
  • Founders’ details. Last name, first name, patronymic (if any), identification code, unique entry number in the demographic register for each beneficial owner (indicated in the ID card);
  • Company information. Proposed name of LLC, legal address (location), types of economic activity, size of authorized capital and distribution of shares between founders;
  • Choice of taxation system. It is necessary to determine whether the company will apply the general or simplified taxation system;
  • Ownership structure. A document reflecting the company’s ownership structure, in accordance with the requirements of Ukrainian legislation;
  • Choice of the model charter version. When registering through Diya, only the model charter is used. It is necessary to select the appropriate version or leave the default option.

Why is it better to entrust the registration of LLC to LF “CENAT”?

Registration of LLC in Ukraine through DIYA is a convenient and automated process, but in some cases it is better to contact an experienced lawyer. Here are the main reasons:

  • Individual business features. If the company’s charter requires the introduction of unique provisions (for example, special rights of participants, complex distribution of profits, restrictions on the sale of shares), using a model charter from the DIYA will not be enough. A lawyer will help develop an individual charter that takes into account the needs of your business;
  • Complex ownership structures. If there are foreigners, legal entities among the founders, or if it is necessary to describe a complex ownership structure, the registration process becomes more complicated. A lawyer will help to correctly draw up documents and avoid mistakes;
  • Errors in documentation. Incorrect selection of CTEAs (types of economic activity) or errors in filling out data can lead to a refusal to register or to the registration of a change in CTEAs. A lawyer will check the correctness of the information;
  • Tax and legal aspects. A lawyer will help choose the optimal taxation system, which affects the future expenses of the company. He will also explain what obligations you undertake as a founder or director;
  • Checking the legality. State registrars check the ownership structure, data of beneficiaries and compliance with the law. Errors or inconsistencies can lead to long delays. A lawyer will ensure that the documents comply with the requirements;
  • International aspects. If your business plans to interact with foreign partners, it is important that the legal structure complies with the requirements of international law. A lawyer will help take these nuances into account;
  • Risk reduction. Errors in LLC registration can lead to problems in the future: disputes between participants, fines from tax authorities, or even cancellation of registration. Professional assistance reduces these risks;
  • Additional services. In addition to registration, a lawyer can offer consultations on other significant issues: registration of a place of residence for a foreigner, registration of the purchase/sale of an LLC, express liquidation of a company, licenses, and permits.

When is it especially important to contact a lawyer:

  1. Several founders who do not agree with the model charter;
  2. It is planned to operate in a specific industry (banking, construction, IT);
  3. There are foreign citizens among the founders;
  4. It is necessary to develop a complex agreement between the founders (corporate agreement).

Bottom line! LF “CENAT” lawyers will not only help you avoid mistakes, but also prepare your business for stable and legal work from the very beginning. Their services will pay off by minimizing risks and simplifying subsequent company management.
