What do you need to change the legal address?

This is a rather old concept, but it still prevails in the everyday life of entrepreneurs. As you know, each company is obliged at the initial registration to indicate the actual location of the head office, with a postal code, street name, house number.

If a company is registered with its own statutory document, then all the above information is recorded in a card of the established form, which can be found on the official website of the Ministry of Justice of Ukraine or on the resource of the center for the provision of administrative services. If an organization is created on a model charter, then the data is indicated in the decision to create a limited liability company.

What documents are needed to change the legal address?

To answer this question, you need to understand how the initial registration of the enterprise took place. As mentioned, there are two options:

  1. Own statutory document. In this case, the location of the company changes only with the card. But if the address is written in the statute, then it will also have to be redone, and this is additional work and an increase in cost;
  2. The company was created through a protocol, on a model charter. Here you need to prepare a new solution indicating the future location and, accordingly, a new card.

Important! If an LLC or PE was created before 2014, then you will have to submit a new protocol, charter and a card of the established form. Or the decision to change the location and switch to a model statute.

Where can I get documents for a legal address?

To solve this problem, it is recommended to contact an experienced lawyer or notary. But if you want to independently achieve a result in this matter, then you can find the necessary papers on the Internet portals of state bodies. Often, information about innovations is not always updated on time, so it is better to find a legal company that will do everything on its own, up to carrying out an action through the USR.

You must be provided with:

  • Decision to move the enterprise;
  • New charter (if necessary);
  • The lease agreement for the premises, the ACT of acceptance and delivery of the office, the power of attorney to receive incoming correspondence, requests from government agencies, summons, and so on.

Also, the performer will fill in the registration card on his own. In your presence, he will certify everything at a notary, enter new data into the USR.

Deadline for submitting documents to the tax office after changing the legal address?

There is no need to notify the fiscal service or other controlling department about the move of the company to another office. They automatically receive data from a single register. But according to the legislation of Ukraine, after changing the location of the enterprise or other data, the founder is obliged to make all the necessary amendments to the USR within thirty days. If this is not done, then the letters that the tax office will send to the old address will be returned. And this threatens with unpleasant consequences, up to the blocking of VAT invoices. And it will be very difficult to unblock them, and it will all end with the fact that the company may simply hang in the air, it will not be able to work, it will not be possible to liquidate and sell it.
