In the business environment, you often hear the terms “legal address” and “actual address.” At first glance, they may seem synonymous, but in reality, there is a significant difference between them, and misunderstanding this can lead to serious legal and financial problems. Let’s clarify what each of these terms means and why it is so important to keep them in compliance with the law.</p>

Legislative perspective</strong><br>Interestingly, Ukrainian legislation does not contain the term “<a href="https://www.yuridicheskiy-adres.kiev.ua/en/legal-address-in-kyiv">legal address</a>” Instead, the official term used is “location of a legal entity.” According to Article 93 of the Civil Code of Ukraine, the location of a legal entity is the actual place where business activities are conducted or the office from which daily management is carried out (typically where management is located) and where accounting and administration take place.</p>



<p>In simple terms, a legal address is the official “registration address” of your company, which:</p>



<ul class="wp-block-list">
<li><a href="https://www.yuridicheskiy-adres.kiev.ua/en/amendments-to-the-usr">Is entered into the Unified State Register</a> of Legal Entities, Individual Entrepreneurs, and Public Formations (USR).</li>

<p><strong>How to avoid problems if addresses differ</strong><br>If your operations are conducted at a different location than the registered address, it is necessary to legalize this fact. There is a simple and legal mechanism for doing so.</p>



<p>You need to inform the tax authorities of all your business locations by submitting a notification using Form № 20-OPP (“Notification of Taxable Objects or Objects Related to Taxation or Through Which Activities Are Conducted”).</p>



<p>In this form, you specify the address of your actual office, warehouse, store, or other premises used for business. Form № 20-OPP must be submitted within 10 business days after registration, creation, or opening of a taxable object (for example, after signing an office lease agreement).</p>

At first glance, the procedure may seem complicated, but in reality, it is fairly standardized. The key is to understand the main stages, prepare the documents correctly, and consider several important nuances, which we will explain in detail in this article.</p>

<p><strong>Scenario 2: Address is stated in the charter</strong><br>If the old address is written in the charter, you will need to amend it. This means:</p>



<ul class="wp-block-list">
<li>Preparing and approving a new version of the charter at the general meeting with the new address (or without any address).</li>



<li>Notarizing the signatures of the participants on the new version of the charter.</li>
</ul>



<p><strong>Tip:</strong> If you are already changing the charter, the best solution is to remove the address completely. This will allow you to change the location in the future without approving a new version of the charter each time, saving time and money.</p>



<p><strong>Step 3: Submitting Documents to the State Registrar</strong><br>Once all internal decisions are made and documents are prepared, the changes must be officially registered. This can be done at the State Registrar at the Administrative Services Center (ASC) or with any notary providing registration services.</p>

Procedures depend on the license type and issuing authority. In most cases, licenses include an obligation to notify the licensing authority of a location change within a set period. Ignoring this can lead to license cancellation.</p>



<p><strong>Qualified Electronic Signature (QES)</strong><br>Your electronic signature (QES, formerly EDS) contains the company’s identification data, including the address at the time of key generation. After registering the new address, the old keys become invalid, as the data does not match the USR. This means you cannot submit electronic reports, register tax invoices, or use other electronic services.</p>



<p><strong>Solution:</strong> Contact an accredited Certification Authority Center (CAC) to generate new QES keys for the director, accountant, and company seal (if applicable).</p>

Although at first glance the procedure may seem complicated and confusing, in reality it is quite straightforward. The main thing is to understand the correct sequence of actions and notify all necessary authorities on time to avoid misunderstandings with state institutions and possible fines.</p>

<p>For a IE, the registered address (officially — place of residence) is the address of the individual’s registered residence, at which they are recorded as a taxpayer. Official correspondence from the tax authorities and other governmental bodies will be sent to this address. It is important not to confuse it with the address where business activities are carried out, which may differ — and there may be several such addresses.</p>



<p>Legislation requires entrepreneurs to update their data in state registers in a timely manner. Outdated information may lead to losing the status of a single tax payer, as well as issues with banks and contractors. Therefore, if you have changed your place of residence, this guide will help you update your IE registration data step by step.</p>



<h3 class="wp-block-heading">When should you change the registered address of your IE?</h3>



<p>The main and only reason to change the location of a IE is a change in your registered place of residence. Since the data about the IE and the individual are interconnected, changing your residence automatically requires updating this information in the Unified State Register (USR).</p>



<p>You should not delay this procedure, as up-to-date data in the registers is key to avoiding unexpected issues. For example, if your previous address ended up in temporarily occupied territory, this could lead to blocked international bank transfers.</p>



<h3 class="wp-block-heading">Two ways to achieve the same goal: online and offline</h3>



<p>Currently, there are two main ways to update the USR with the new address of a IE: online through the Diia portal and offline through the Administrative Services Center (CNAP) or another state registrar.</p>



<h3 class="wp-block-heading">Changing the IE address online through the Diia portal</h3>



<p>This is the fastest and most convenient method, allowing you to update your data without leaving home. The procedure takes about 10–15 minutes.</p>



<p><strong>Step-by-step process:</strong></p>



<ol class="wp-block-list">
<li><strong>Authorization.</strong> Log in to the Diia portal using your qualified electronic signature (QES), Diia.Signature or BankID.</li>



<li><strong>Select the service.</strong> Find the “Entrepreneurship” section in the services catalog and select “Updating data for a IE.”</li>



<li><strong>Fill out the form.</strong> The system will automatically populate most of your data. You only need to enter your new registered address.</li>



<li><strong>Sign and submit.</strong> Sign the generated form with your electronic signature.</li>



<li><strong>Payment.</strong> The service is paid. The administrative fee equals 0.1 of the subsistence minimum for able-bodied persons as of January 1 of the current year (in 2025, approximately 300 UAH).</li>



<li><strong>Wait for the result.</strong> The application is automatically sent to the USR. You can track its status in your personal account under “Ordered services.” A notification will appear in your account and be sent to your email once the changes are submitted.</li>
</ol>



<p>After the changes are successfully registered, you can download the updated extract from the USR directly in your citizen’s account. This electronic document has the same legal force as a paper one.</p>



<h3 class="wp-block-heading">Changing the IE address offline through the CNAP</h3>



<p>If you prefer in-person communication with officials or do not have an electronic signature, you can apply at any CNAP or state registrar, regardless of your current registered address.</p>



<p><strong>Required documents:</strong></p>



<p>● Application for registration of changes (Form 1). The form can be obtained on site or downloaded in advance. You must check the box for “Change of location.”<br>● Passport of a Ukrainian citizen (or another identity document).<br>● Taxpayer Identification Number (TIN).<br>● Receipt confirming payment of the administrative fee. Payment details will be provided at the CNAP.<br>● Power of attorney (if documents are submitted by an authorized representative).</p>



<p>The state registrar will accept the documents and update the USR within 24 working hours.</p>



<h3 class="wp-block-heading">The next step: notifying the tax authorities</h3>



<p>After the new address appears in the USR, the information is automatically transferred to the tax office. However, if you are a single tax payer, you must additionally submit an Application for the Use of the Simplified Tax System with a note indicating changes.</p>



<p><strong>You can do this:</strong></p>



<p>● <strong>Through the Diia portal</strong> — if you updated your address online, the system will automatically offer to generate and send the application.<br>● <strong>Through the Electronic Taxpayer Cabinet</strong> — another convenient online option. Log in, navigate to “Reporting,” and generate form F0102003.<br>● <strong>In person or by mail</strong> — submit a paper application to the tax office at your new address.</p>



<p><strong>Deadlines for submitting the application:</strong></p>



<p>● For single tax payers of Groups 1 and 2 — no later than the 20th day of the month following the month when changes occurred.<br>● For Group 3 single tax payers — together with the tax return for the quarter in which the change took place.</p>



<p>Failure to submit this application may lead to cancellation of your single tax payer registration.</p>



<h3 class="wp-block-heading">What happens with the tax office and where should you pay taxes?</h3>



<p>When you change your registered address to a different district, city, or region, your tax office also changes. The transfer process is automatic but has several specifics.</p>



<p>There is a transitional period that lasts until the end of the fiscal year (December 31). During this period:</p>



<p>● You continue paying the single tax and other taxes and fees (except the unified social contribution, USC) using the payment details of your “old” tax office — the place of non-primary registration.<br>● The Unified Social Contribution (USC) must be paid to the accounts of the tax office at your new registered address.<br>● Tax reporting (single tax declarations, USC reports) must also be submitted to the new tax office.</p>



<p>From January 1 of the next year, you will be fully transferred to your new tax office, and all taxes should be paid to the new accounts.</p>



<p>To avoid confusion, after changing your address, check your registration details in your Electronic Taxpayer Cabinet. It will show which tax office is primary or non-primary and provide valid payment details.</p>



<h3 class="wp-block-heading">What else needs to be done?</h3>



<p>After completing all registration steps, don’t forget the following:</p>



<ol class="wp-block-list">
<li><strong>Notify your bank.</strong> Contact your bank to update your address in your account records.</li>



<li><strong>Update contracts.</strong> Notify your partners, suppliers, and clients about the address change and update your agreements if necessary.</li>



<li><strong>Check your licenses.</strong> If your business is licensed, make sure the change of address does not require reissuing your license documents.</li>



<li><strong>RRO/PRRO.</strong> If you use a cash register, you must re-register it with the new address.</li>
</ol>

And this is where often-confused terms arise: legal (registered) address and actual address. Although these terms are deeply rooted in everyday business language, Ukrainian legislation operates with somewhat different categories. Understanding their essence, differences, and legal implications is critically important for the stable and secure operation of any company in Kyiv.</p>

<p><strong>What the law says: location and tax address</strong></p>



<p>It is important to note from the outset that Ukrainian laws do not provide clear definitions of the terms “legal address” or “actual address.” Instead, the legislator uses the concept of the “location of a legal entity.”</p>



<p>According to Article 93 of the Civil Code of Ukraine, the location of a legal entity is the actual place of business or the office from which the company’s day-to-day operations are managed (typically where management is located), as well as where administration and accounting are conducted. This information about the location is entered into the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Formations (USR). This registered address is what is commonly referred to in the business environment as the legal address.</p>



<p>Closely related to this concept is the “tax address.” According to the Tax Code of Ukraine, the tax address of a legal entity is its location as recorded in the USR. It is to this address that tax authorities send official correspondence, notifications, and demands.</p>



<p>Thus, from the perspective of the law, a company must have one official address — its location registered in the USR, which simultaneously serves as its tax address. The actual address, however, is the place where the business actually operates: where the office, production site, warehouse, or store is located. Ideally, these two addresses should match.</p>



<p><strong>Why matching addresses is more than a mere formality</strong></p>



<p>The company’s presence at its registered address has significant practical importance. This address serves as the official communication channel between the business and the state, as well as with counterparties.</p>



<p><strong>Key functions of the legal address:</strong></p>



<ul class="wp-block-list">
<li><strong>Official communication:</strong> All official correspondence from the tax service, courts, social funds, and other governmental institutions is sent to the legal address. If a company fails to receive these letters, it may miss important information, such as a scheduled inspection, a court claim, or a tax payment requirement.</li>



<li><strong>State registration:</strong> It is impossible to register a company without specifying its location.</li>



<li><strong>Inspections by controlling authorities:</strong> State authorities — particularly the tax service — have the right to conduct inspections at the taxpayer’s registered location.</li>



<li><strong>Reputation and trust:</strong> A reliable and real address, especially in a prestigious district of Kyiv, increases trust from clients, partners, and banks.</li>

Let’s go through all the details of this process so that changing the address brings only positive results and not headaches.</p>

<p><strong>Step One: State Registration</strong></p>



<p>Any change of a <a href="https://www.yuridicheskiy-adres.kiev.ua/en/legal-address-in-kyiv">legal address</a> begins not at the tax office, but with the state registrar. The registrar is the one who updates the information in the Unified State Register (USR).</p>

<li><strong>Submission to the registrar:</strong> The documents are submitted to the state registrar or a notary authorized to carry out registration actions.</li>
</ol>



<p>Once the registrar updates the USR (usually within 24 hours), the information is automatically sent to the tax service, statistics authorities, and the Pension Fund. From that moment, your company officially “resides” at the new address. It may seem simple, but this is where tax nuances begin.</p>



<p><strong>Key Rule: “Fiscal Year”</strong></p>



<p>The main principle to remember: after changing the address, which results in a change of the tax inspection (for example, moving from one district of Kyiv to another serviced by a different office), the company continues to pay most taxes and submit reports at the old registration location until the end of the current fiscal year.</p>



<p>In Ukraine, the fiscal year coincides with the calendar year: it runs from January 1 to December 31.</p>



<p>This means that if your company changed its address in May 2025, you will be registered in two tax offices simultaneously until December 31, 2025:</p>

<li><strong>At the new address</strong> — as the main registration.</li>



<li><strong>At the old address</strong> — as a secondary registration, where taxes will be paid until the end of the year.</li>

<p>Only from January 1, 2026, will you fully “move” to the new tax office, and all payments and reports must be submitted there.</p>

<p>To avoid confusion, let’s review the procedure for payment and reporting for each key tax separately.</p>



<p><strong>Personal Income Tax (PIT) and Military Levy (ML)</strong></p>



<p>This is one of the most confusing situations. Remember:</p>



<ul class="wp-block-list">
<li><strong>Payment:</strong> PIT and military levy withheld from employees’ salaries are remitted to the budget at the old location until the end of the fiscal year.</li>



<li><strong>Reporting:</strong> The Unified Tax Report (combined report for PIT, ML, and the Single Social Contribution) is submitted to the tax office at the new address starting from the quarter in which the address change occurred.</li>
</ul>



<p><strong>Example:</strong> A company moved from <a href="https://www.yuridicheskiy-adres.kiev.ua/en/mailbox-in-the-pechersk-district-of-kiev">Shevchenkivskyi District</a> to <a href="https://www.yuridicheskiy-adres.kiev.ua/en/legal-address-in-the-pechersk-district-of-kiev">Pecherskyi District</a> in October 2025.</p>

<p>When registering a company in Kyiv, one of the first and most important steps is determining its location, or, as it is commonly called, the legal address. This is not just a formality for entry into the Unified State Register (USR). <a href="https://www.yuridicheskiy-adres.kiev.ua/en/legal-address-in-kyiv">A legal address</a> serves as the official channel of communication with government authorities, the tax service, banks, and business partners. All official correspondence, including court summons and tax notifications, will be sent to this address. Therefore, choosing it requires maximum responsibility.</p>

<p>If the newly created company does not have its own or rented office, a reliable solution is to obtain a <strong>letter of guarantee for providing a legal address</strong>. This document serves as proof for state registrars and regulatory authorities that the company has a legitimate basis to be located at the specified address.</p>



<h3 class="wp-block-heading"><strong>What is a Letter of Guarantee and why is it needed?</strong></h3>



<p>A <strong>letter of guarantee for providing a legal address</strong> is an official document from the owner of a non-residential property, confirming their intention to enter into a lease agreement with the registering company after its official establishment. Simply put, it is a promise from a future landlord to &#8220;host&#8221; your company.</p>



<p>Although Ukrainian law does not explicitly include a letter of guarantee in the list of mandatory documents for <a href="https://www.yuridicheskiy-adres.kiev.ua/en/llc-registration">registering an LLC</a>, it is often requested in practice to verify the accuracy of information. This document minimizes the risk of registration refusal due to providing false information about the company’s location.</p>



<h3 class="wp-block-heading"><strong>Main functions of the letter of guarantee:</strong></h3>



<ul class="wp-block-list">
<li><strong>Confirmation of intent.</strong> The letter proves that the business founders have a prior agreement with the property owner.</li>



<li><strong>Protection against fictitious companies.</strong> For tax authorities, having such a letter indicates that the company is not a “shell” or “one-day” company.</li>



<li><strong>Basis for communication.</strong> Government authorities must be confident that the company can be reached at the specified address.</li>
</ul>



<h3 class="wp-block-heading"><strong>Key elements of a proper letter of guarantee</strong></h3>



<p>Although there is no legally mandated form for this document, business practice has developed certain standards. To ensure acceptance without questions, the letter should include:</p>



<ol class="wp-block-list">
<li><strong>Information about the landlord (property owner).</strong>
<ul class="wp-block-list">
<li>For a legal entity: full name, USR code, legal address, position and full name of the director.</li>



<li>For an individual: full name, passport details, and taxpayer registration number.</li>
</ul>
</li>



<li><strong>Information about the future company.</strong><br>Example: “Limited Liability Company ‘Perspektyva’.”</li>



<li><strong>Exact address of the property.</strong><br>City, street, building number, block, office.</li>



<li><strong>Guarantee of contract conclusion.</strong><br>Key phrase confirming the owner’s obligation to enter into a lease (or sublease) agreement after state registration of the LLC.</li>



<li><strong>Property characteristics.</strong><br>Preferably, indicate the area and purpose (e.g., “non-residential office space”).</li>



<li><strong>Date and signature.</strong><br>Signed by the authorized person and stamped (if the legal entity has a seal).</li>
</ol>



<p>A copy of the document proving ownership of the property (e.g., extract from the State Register of Real Property Rights) <strong>must be attached</strong> to the letter of guarantee. This removes any doubts about the landlord’s authority.</p>



<h3 class="wp-block-heading"><strong>Who can issue a letter of guarantee?</strong></h3>



<p>The guarantor can be either an individual or a legal entity who owns the non-residential property. It is important that the property has a non-residential status and is suitable for an office.</p>



<p>Registering a company in a residential property, such as the founder’s apartment, is possible but carries risks, including public disclosure of the home address and potential visits from regulatory authorities.</p>



<h3 class="wp-block-heading"><strong>Legal vs. actual address: differences and risks</strong></h3>



<p>Ukrainian law does not formally distinguish between “legal” and “actual” addresses. Article 93 of the Civil Code of Ukraine defines the <strong>location</strong> of a legal entity as the actual place of business activity or office from which daily management is conducted. By law, these addresses should coincide.</p>



<p>In practice, companies often operate at a different location than their registration address, which entails risks:</p>



<ul class="wp-block-list">
<li><strong>Tax issues.</strong> If a tax inspector cannot find the company at its legal address during an audit, a record of absence may be entered into the USR.</li>



<li><strong>Cancellation of VAT registration.</strong> A record of absence can be a legal basis for annulment of VAT registration.</li>



<li><strong>Loss of important correspondence.</strong> All official letters, including tax inquiries, court summons, and claims from partners, are sent to the legal address. Failure to receive them does not exempt from responsibility but prevents timely response.</li>



<li><strong>Bank account blocking.</strong> Banks monitor clients, and a fictitious address can result in refusal of service or account blocking.</li>



<li><strong><a href="https://www.yuridicheskiy-adres.kiev.ua/en/express-liquidation-llc">Forced liquidation.</a></strong> In extreme cases, systematic absence at the registration address may lead to a court decision to terminate the company’s activities.</li>
